GENERAL CONDITIONS - SALE - USE - SERVICES

 

1 - Object and scope

1.1. These General Conditions of Sale and Use are intended to govern the commercial relations between " FIDULINK®” or “SUXYS®” the operators for FiduLink.com and its sub-domains: SUXYS INTERNATIONAL® Limited, Head Office: Burlington Tower, Business Bay Dubai United Arab Emirates – SUXYS EUROPE Limited, Company 739284, Head Office: Black Church, ST. Mary's Place, Dublin 7, DO7 P4AX, Ireland – SUXYS® LLC, Head Office: Coastal Highway Lewes, Delaware, 19958, United States of America, (“FIDULINK®”) (" FIDULINK.com ») (" MARKETPLACE-FIDULINK.com ») (" APP-FIDULINK.com ») (" MOBILE.FIDULINK.com ») (" All domains and subdomains of .FIDULINK.com »)

and its clients (" Client "). On the basis of these General Commercial Conditions, FIDULINK.com will provide the Customer with various services such as the creation of companies (" Society "), (" Subsidiary company "), (" Branch ") and certain related additional services (" Additional Services ») as well as assistance relating to the opening of accounts with banks or non-bank financial service providers or other regulated or unregulated banking and or financial establishments or institutions in their respective jurisdictions (" Opening an Account or Banking Introduction »).

1.2. These General Commercial Conditions form an integral part of any contract concluded between the CLIENT et FIDULINK® by digital signature of a form FIDULINK®, whether it is signed online through the validation of an order on a FIDULINK.com platform or under domains and Marketplace or applications or on paper (" Contract ") in PDF format. By entering into a Contract with FIDULINK®, the Customer accepts these General Terms and Conditions. A list of prices and a list of services are available on the FIDULINK.com sites and under domains and other applications and MarketPlace.

1.3. All other general conditions which deviate from, contradict or supplement these General Commercial Conditions will be excluded from any Contract, unless otherwise expressly agreed in writing between the Customer and FIDULINK.com.

1.4. In the event of a conflict between these General Commercial Conditions and any Contract, the provisions of the Contract shall prevail over these General Commercial Conditions. In the event of a conflict, you can contact our conflict management service at: lawyer [@] fidulink.com. Our lawyer will take care of your request.

1.5. FIDULINK.com reserves the right to modify the General Commercial Conditions at any time with immediate effect without notification obligations to its users. The Customer will be informed of these changes by a notification published on FIDULINK.com through the FiduLink.com blog with an official publication. Amendments will be deemed approved by the Client, unless FIDULINK.com receives a written objection in this regard within four weeks from the date of notification to lawyer(@)fidulink.com with an original letter send to its registered office in registered with acknowledgment of receipt to SUXYS International Limited Burlington Tower, Business Bay Dubai, United Arab Emirates. 2 - Content and scope of services

Foundation and management of a Company and Additional Services

2.1. FIDULINK® can provide the Customer with a service of incorporation of Company, subsidiary, branch, in the jurisdictions specified on the list published on the site of FIDULINK® ( www.fidulink.com ) or its platforms (internet, mobile application or tablet application, IOS application, Android application). FIDULINK® can also organize, whether through companies affiliated with FIDULINK® or third parties, the provision of Additional Services such as appointment of trustees, trustees shareholders, internet merchant account, company logo, company stamp, company stamp, power of attorney, notarized certification and apostille on documents , application for licenses, application for approval, search for premises, search for personnel, search for partners, and any other services that FIDULINK® and the CLIENT will deem it useful to create or set up the client's company. 2.2. All Additional Services will be provided on the basis of a specific agreement between the Client and the relevant Additional Services provider, except for seals, stamps and logos, notarized certification and apostille.

Power (POWER OF ATTORNEY)

The customer gives power to FiduLink.com and sub-domains, SUXYS® and its representatives, FiduLink.com Agents, FiduLink.com Lawyers, FiduLink.com Accountants, FiduLink.com Partners for editing, drafting, publication, administrative procedures, physical or electronic representation with notaries, accountants, lawyers , banks, banking and or financial institutions and all other administrations, the introduction, transmission of documents and other registrations with the authorities, banks, financial institutions, chambers of commerce, chambers of companies for the establishment and or the incorporation of companies or subsidiary or branch, dissolution of company, subsidiary or branch, any change related to the company, branch, subsidiary. This power will begin on the day of the order and will end at the end of the services offered by fidulink.com, i.e. 365 days and will be automatically renewed upon renewal of the services and validation of the digital order and acceptance of these general conditions. sales and uses and renewal of services. 2.3. FIDULINK® on request can assist the Client in the context of the banking or financial introduction, the opening of an account with a bank, payment establishment, financial institution, or a non-banking service provider, E-wallet provider, (“ Bank or Institution "). In this context, FIDULINK® may offer the Client a list of establishments, but it is the Client who is responsible for the choice of the establishment subject to acceptance of the establishment and the compliance of the client and his company, subsidiary, branch, office commercial representation (Good Standing, Activities, Support, premises, etc.). The Customer can choose either an establishment from the list of establishments provided by FIDULINK® or a third-party establishment (only on request and without any guarantee that the establishment accepts the opening of the customer's company account) within the limit of two requests and refusal by the customer and/or banks and/or establishments). The successful implementation of additional services such as credit cards, bank check books or Internet banking access is not guaranteed and is offered as is and without guarantee. The service may only be used for legal purposes as determined by applicable law and the client agrees to provide all information relating to its activity and the origin of its funds, and any other questions or information requested by the banking or financial institution or FIDULINK® and or other FiduLink agents or other FiduLink Partners, FiduLink Lawyers, FiduLink Accountants or other AML Compliance type control agents.

2.4 SUXYS® and FiduLink.com does not offer any Wallet or E-Wallet service, the Wallet or E-Wallet services present on the website of www.FiduLink.com and or under domains and other brand domains is a service offered by Third-party companies authorized to provide exchange services, e-wallet – wallet … (E-Wallet Supplier and Exchange Platform for professionals in the context of commercial operations) under the name of Label E-Wallet FiduLink. The customer accepts that he cannot in any case and of any nature whatsoever turn against FiduLink.com and its sub-domains or SUXYS® with regard to the registration and login link present on the FiduLink.com website. The customer discharges FiduLink.com and SUXYS® of any proceedings in the event of a dispute with the establishments or other financial or banking institutions for which the latter has obtained an introduction at his request with the validation of the latter with his banking and or financial establishments regulated or unregulated in their jurisdictions of origins.

 

3 - Right to refuse services

FIDULINK.com and or SUXYS® reserves the right to refuse all or part of the services it offers to a Customer without reason or explanation, and can in no way be held responsible for this refusal. No refund of any kind whatsoever can be granted in the event of refusal of services by FIDULINK.com or sub-domains or SUXYS® , or Agent SUXYS® , Lawyer SUXYS®, Accountant SUXYS® ,SUXYS Partners® and other AML compliance-type control agents. You are the subject of a refusal of service, you can contact our legal department at: lawyer(@)fidulink.com (Language of your Email in English only, all requests not being written in English will not be the object of any treatment on the part of our lawyer in charge of this kind of suspension or end of services). As part of an Anti-Money Laundering (AML) check, you can contact the compliance service FiduLink.com and subdomains and SUXYS® by email to compliance(@)fidulink.com, the services and other incorporations of companies may be subject to temporary or permanent blocking by the services of FiduLink.com and sub-domains, SUXYS® , FiduLink.com lawyers , FiduLink.com lawyers , FiduLink.com accountants , FiduLink.com domiciliation center and other Partners , FiduLink.com agents and sub-domains. In the context of verbal or written or physical behavior deemed incorrect or even threatening towards FiduLink.com or SUXYS® or FiduLink.com agents, FiduLink.com lawyers, FiduLink.com accountants, domiciliation centers and their staff will result in a refusal of services and/or immediate access to services and products without the possibility of reimbursement. In the context of publication or dissemination through internet networks, websites, blogs, internet pages, forums, radios, web tv, channels, messaging services… and all other media, visuals, television, audiovisual statements deemed defamatory by FiduLink.com and or SUXYS® towards FiduLink.com or subdomains or SUXYS® or FiduLink Agents® , FiduLink Lawyers® , Accountants FiduLink® , FiduLink Direct Debit Centers® and all other SUXYS partners and platforms® and/or FiduLink.com will lead to prosecution in the country of residence of the customer(s) and other managers, displays, hosts, authors, editors of the publication(s) or of the statement thus the customer accepts without reservation and without limit with a personal and full joint surety to bear the costs of justice and protection as well as all the costs relating to the case and to bear without any limit and in a personally joint and several way the damages that FiduLink.com can claim and SUXYS®  the one or more concerning them and those towards FiduLink.com or SUXYS® or FiduLink.com Agents, FiduLink.com Lawyers, FiduLink.com Accountants, FiduLink.com Domiciliation Centers without limit of amount and duration and on simple request of FiduLink.com or SUXYS® or FiduLink.com Managers or Agents, FiduLink.com Lawyers, FiduLink.com Lawyers, FiduLink.com Accountants or FiduLink.com Domiciliation Centers and other FiduLink.com and SUXYS Partners or Suppliers®.

 

4 - Provision of advice

Although FIDULINK® strives to provide truthful and correct information on all its services, jurisdictions, legal forms of companies, taxation and other information relating to the creation of a company in the jurisdiction of your choice, FiduLink.com and sub-domains and SUXYS® does not provide advice other than information freely available and published regularly by the Courts itself, nor information concerning (Taxation of Individuals, Taxation of Legal Entities, Offshore Arrangements, Onshore-Offshore Arrangements, Tax Exemption for Individuals and Companies) A as such the customer accepts and certifies that he has not received any legal or tax advice from FIDULINK.com and or subdomains or SUXYS® or FiduLink Agents® (FiduLink.com Lawyers, FiduLink.com Legal Officers, FiduLink.com Accountants, FiduLink.com Agents and other FiduLink.com partners or FiduLink.com Suppliers) or any other institutions or natural or legal person in relation to FiduLink.com and sub- domains or SUXYS® . It is the Client's responsibility to ensure that he receives all necessary legal and tax advice with regard to the establishment and operation of the Company in the jurisdiction of his choice, and to ensure that the activities will not violate the law of any competent jurisdiction. The client accepts and undertakes to ensure the proper legal, fiscal and administrative conduct of his company after the creation of the latter. The client(s) completely discharge SUXYS® or FiduLink.com or its subdomains, FiduLink.com Agents, FiduLink.com Lawyers, FiduLink.com Accountants and other FiduLink.com Partners and FiduLink.com Suppliers from all responsibilities concerning the choice of jurisdiction, the choice of legal form , the choice of the name of the company, the choice of the activity of the company, the management of the company, the good administrative and fiscal behavior of the company and its managers and other shareholders and or other suppliers and or collaborators and all other causes or acts of misconduct or failure to manage the Client's business properly.

 

5 - Legal goals

The Client guarantees that he will not use any of the rights granted in a Contract for illegal, obscene, immoral or defamatory purposes and will not discredit FIDULINK® , SUXYS® , FiduLink.com Lawyers, FiduLink.com Accountants, FiduLink.com Agents, FiduLink.com Business Centers, FiduLink.com Partners and other FiduLink.com Suppliers in any way. The Customer may not under any circumstances use or associate the name of FIDULINK.com and FiduLink.com Agents, FiduLink.com Lawyers, FiduLink.com Accountants, FiduLink.com Business Centers, FiduLink.com Partners and other FiduLink Suppliers. com, in whole or in part, for commercial purposes. If applicable, FIDULINK® and or SUXYS®, FiduLink.com Lawyers, FiduLink.com Agents, FiduLink.com Accountants, FiduLink.com Business Center , FiduLink.com Partners , Suppliers FiduLink.com reserves the right to cooperate with any official investigative authority in the event of allegation of breach against the Client (The client unreservedly accepts that FiduLink.com, SUXYS® , FiduLink.com Agents, FiduLink.com Lawyers, FiduLink.com Accountants, FiduLink.com Partners and other Suppliers FiduLink.com puts an end to all confidentiality agreements in order to offer full cooperation with the authorities who would request it from SUXYS® or FiduLink.com.)

 

6 - Money laundering and due diligence

The Client and its partners, shareholders, and other persons in charge and taking part in the foundation of the company or companies, subsidiaries, branches shall provide FIDULINK.com, FiduLink.com Agents, FiduLink.com Lawyers, FiduLink.com Accountants, Centers FiduLink.com business, FiduLink.com Partners, and other FiduLink.com Suppliers any information deemed necessary by the latter to ensure that the Company complies with applicable legislation in the fight against money laundering and of due diligence. It is the Customer's responsibility to ensure that the information provided to FIDULINK® are correct, accurate, verifiable and bona fide. The Client also declares to FIDULINK.com, FiduLink.com Agents, FiduLink.com Lawyers, FiduLink.com Accountants, FiduLink.com Partners and other FiduLink.com Suppliers that the goods or funds introduced into a Company do not constitute, either directly or indirectly, the proceeds of a crime or any other illegal activity. In order to enable FIDULINK.com, FiduLink.com Lawyers, FiduLink.com Agents, FiduLink.com Accountants, FiduLink.com Business Centers, FiduLink.com Partners and FiduLink.com Suppliers to meet its legal obligations, the Customer shall FIDULINK.com, FiduLink.com Lawyers, FiduLink.com Agents, FiduLink.com Accountants, FiduLink.com Business Centers, FiduLink.com Partners and FiduLink.com Suppliers fully and promptly informed of any change concerning the economic beneficiary, the shareholders and company managers. The economic beneficiaries indicated by the Client will physically or digitally sign a "form" or "electronic form" as required by the Contract. The Client shall inform FIDULINK.com, FiduLink.com Lawyers, FiduLink.com Agents, FiduLink.com Accountants, FiduLink.com Business Centers, FiduLink.com Partners and FiduLink.com Suppliers of the nature of his company's activities without delay. and any changes will be subject to the prior written consent of FIDULINK.com, FiduLink.com Lawyers, FiduLink.com Agents, FiduLink.com Accountants, FiduLink.com Business Centers, FiduLink.com Partners and FiduLink.com Suppliers. The client and the shareholders and other beneficiaries of the company must carry out, within 30 days of the creation of the company, an identity verification using the FiduLink.com solution. Identity verification is mandatory for all users. The customer will need to perform AML and KYC verification. The customer discharges FiduLink.com and/or SUXYS®, FiduLink.com Lawyers, FiduLink.com Agents, FiduLink.com Accountants, FiduLink.com Business Centers, FiduLink.com Partners and FiduLink.com Suppliers of all responsibilities and undertakes not to establish a company for the purpose of establish fraud of any kind. Within the framework of compliance with national or international legislation FiduLink.com and SUXYS® , FiduLink.com Lawyers, FiduLink.com Agents, FiduLink.com Accountants, FiduLink.com Business Centers, FiduLink.com Partners and Suppliers FiduLink.com imposes a mandatory Anti-Money Laundering verification and control process on its customers: https://Marketplace-FiduLink.com. As part of a verification or detection of fraud, the customer accepts without reservation and without limit with a personal and complete joint surety to bear the costs of justice and protection as well as all the costs relating to the case. , verification, defense costs and other costs ... and to bear the damages that FiduLink.com may claim concerning it and those towards FiduLink.com or SUXYS® , FiduLink.com Lawyers, FiduLink.com Agents, FiduLink.com Accountants, FiduLink.com Business Centers, FiduLink.com Partners and FiduLink.com Suppliers without limit of amount and duration and upon simple request from FiduLink.com or SUXYS® , FiduLink.com Lawyers, FiduLink.com Agents, FiduLink.com Accountants, FiduLink.com Business Centers, FiduLink.com Partners and FiduLink.com Suppliers.

 

7 - Client's obligations

The provision of supporting documents in connection with the due diligence may in particular, and without being exhaustive, include: original certified copies of identity documents, proof of residence dated less than 3 months ago, bank reference letters, original certified copies of company documents, as well as originals of certified translations if applicable, notarial certification, apostille and other digital certificate. Any certification must be produced according to the requirements of the applicable jurisdiction and according to the possible instructions of FIDULINK.com, FiduLink.com Lawyers, FiduLink.com Agents, FiduLink.com Accountants, FiduLink.com Business Centers, FiduLink.com Partners and FiduLink.com Suppliers. The Customer has the obligation to submit the documents required to meet the due diligence obligations before the start of the services FIDULINK.com and , FiduLink.com Lawyers, FiduLink.com Agents, FiduLink.com Accountants, FiduLink.com Business Centers , FiduLink.com Partners and FiduLink.com Suppliers , Compliances, and other services or authorities who expressly request it from FiduLink.com or SUXYS® or the customer directly.  

Note: Only the certifications of Notary Public of the Country of residence, Town Hall of the city of residence, Embassies, Police station of the city of residence, Public Advocates (under certain conditions) of the country of residence) are acceptable. Any attempt or submission of document fraud or submission of non-compliant documents will result in the immediate suspension of FiduLink.com services.

 

8 - Fees and payment terms

In general

8.A.1.1 The Client undertakes to pay the fees claimed by FIDULINK.com, FiduLink.com Lawyers, FiduLink.com Agents, FiduLink.com Accountants, FiduLink.com Business Centers, FiduLink.com Partners and FiduLink Suppliers .com when ordering its company package or other services. The FIDULINK.com fee schedule appears in the fee list published on the FIDULINK.com website (www.fidulink.com and subdomains and or FiduLink Marketplace ® or SUXYS Apps®) and its platforms. In addition to the costs mentioned on the website and other applications, the Client acknowledges having to reimburse all costs incurred, including, but not limited to, costs incurred when convening or attending meetings of directors, shareholders or secretaries, the costs convening or attendance at any extraordinary general meeting of the Company, the costs related to the preparation of any redirection of notification or declaration and any other similar costs. FIDULINK.com does not begin an execution phase until full payment of the fees has been received.
All fees and charges are payable in the currency designated by FIDULINK.com, available currencies are , GBP, AED, EUR, USD, CAD, SGD, NZD, AUD, TRY, PLN, RON, SEK, HKD, NOK, JPY , CHF, MXN, DKK, ILS, HUF, ZAR, ETH, BTC, EURS, SUXYS token, USDT (Exchange rate based on EUR currency). The Customer is not authorized to withhold fees and expenses from claims related to any service, warranty or liability. Likewise, any right to offset on the part of the Customer is hereby excluded. FiduLink.com updates the exchange rate regularly on its websites and on the various marketplaces and mobile applications.

8.A.1.2 Payment in Bitcoin.

FIDULINK® accepts payments in bitcoin with Euros as the currency of Exchange. The client accepts that the payment may be subject to adjustment in the event of a sudden drop in the crypto-asset. FIDULINK® reserves the right to refuse payment in Bitcoin.

8.A.1.3 Payment in Ethereum.

FIDULINK® accepts payments in Ethereum with Euros as the currency of Exchange. The client accepts that the payment may be subject to adjustment in the event of a sudden drop in the crypto-asset. FIDULINK® reserves the right to refuse payment in Ethereum.

8.A.1.4 Payment by Western Union.

FIDULINK® accepts payments in Western Union with Euros as transfer currency. The customer agrees to bear the costs of Western Union. FIDULINK ® reserves the right not to refuse payment by Western Union. Only available for Western Union payments (Bank Account Transfer Mode). (Only available for customers in case of emergency)

8.A.1.5 Payment in MoneyGram.

FIDULINK® accepts payments in MoneyGram with Euros as transfer currency. Customer agrees to bear MoneyGram's fees. FIDULINK® reserves the right not to refuse payment by MoneyGram. Only available for MoneyGram payments (Bank Account Transfer Mode). 

8.A.1.6 Payment in USDT.

FIDULINK® accepts payments in USDT with USD as the currency of exchange. The client agrees to bear the costs of exchange and transfer to the E-Wallet of FiduLink.com. FIDULINK® reserves the right not to refuse payment by USDT.

8.A.1.7 Payment in EURS.

FIDULINK® accepts payments in EUR with USD as the currency of exchange. The client agrees to bear the costs of exchange and transfer to the E-Wallet of FiduLink.com. FIDULINK® reserves the right not to refuse payment by EURS.

8.A.1.8 Payment in SUXYS Token.

FIDULINK ® accepts payments in SUXYS Token with USD as the currency of exchange. The client agrees to bear the costs of exchange and transfer to the E-Wallet of FiduLink.com. FIDULINK® reserves the right not to refuse payment by SUXYS Token.

 

FiduLink.com does not offer cash payments. The customer accepts the use of the above payment methods as part of their online payments or at a FiduLink.com branch.

 

Foundation and Management of a Company, Subsidiary, Branch

8.2. In addition to the annual fees, the Customer must pay FIDULINK® a single lump sum to allow the creation of a Company, branch, subsidiary (“incorporation costs”). Incorporation costs vary by jurisdiction and include the provision of a registered office of the Company (address), the provision of a resident agent as well as all documents so that the Company can be fully operational from the first day of registration, namely: the certificate of incorporation issued by the local registry; the statuses ; the resolution relating to the appointment of the director and the distribution of shares and the share certificate(s).

The annual fee is a flat fee payable annually upon registration or renewal of the Company. They include the maintenance of the Company in relation to the local laws of the jurisdiction as well as the renewal of the registered office, the registered agent and government fees of the jurisdiction concerned. These fees are not refundable.

The Customer is liable to FIDULINK.com for all other taxes such as government taxes, duties, taxes and other payments to third parties as well as fees and transfer indemnities of directors or trustee shareholders, including disbursements and all justifiable out-of-pocket expenses.

The Customer acknowledges the right of FIDULINK® review the annual fees. Any change in the fee structure will be notified to the Customer at least one month before the start of the services for the period to which the fee relates. The Customer may pay the fees due to FIDULINK® using a valid Visa or MasterCard credit card in their name, or by bank transfer. Customers who transmit to FIDULINK® the data of a credit card (or similar instrument) as a means of payment accept that FIDULINK® charges their credit card for the full amount of fees and/or expenses, taxes, duties due to FIDULINK® in connection with the service and any other justifiable disbursements or out-of-pocket expenses. The Customer also accepts that FIDULINK® can save and use card data in accordance with these General Conditions and the Privacy Policy.

8.2.1.A - Legal Address Supply 

FiduLink.com can provide a legal address for the company create per client if this is included in the package for a period of 3 months, 6 months, 12 months depending on the jurisdictions and the packages. The client accepts full responsibility as well as the conditions of use of FiduLink.com, FiduLink.com business centers, FiduLink.com accountants, FiduLink.com agencies, FiduLink.com partners and other FiduLink.com suppliers. FiduLink.com, FiduLink.com Agents, FiduLink.com Lawyers, FiduLink.com Accountants, FiduLink.com Partners and Suppliers FiduLink.com reserves the right to terminate the direct debit services in the event of non-compliance with the general conditions of use and FiduLink.com services without reservation and without notice. The customer accepts and affirms to have read and understood the general conditions of sale and services of FiduLink.com. The customer accepts that he cannot use FiduLink.com addresses without having notified FiduLink.com and having received written consent from FiduLink.com. The customer may in no case receive customers, partners, suppliers and other meetings at the place of domicile without the prior written consent of FiduLink.com, large packages and all others. FiduLink.com undertakes to inform customers of the receipt of a letter on behalf of the customer's company at the address provided by FiduLink.com (except in the event of non-recharge of mail credit). The customer accepts that FiduLink.com suspends the mail reception services from the 1st day of non-payment of the address services provided by FiduLink.com. In the event of an administration check, the customer agrees to provide a place other than that provided by FiduLink.com to the administration and those at its expense or to rent an office or a private meeting room within the limits of FiduLink's availability. .com. FiduLink.com reserves the right to refuse to provide a meeting room rental or office rental service to the client.

 

SPECIAL CONDITIONS FOR PAYMENTS BY DEBIT OR CREDIT CARD

8.3. If payment of the annual fee is due and overdue despite regular invoicing by FIDULINK® and reasonable efforts to notify the Client of such breach, the Client agrees that FIDULINK may debit the Client's card (debit or credit) for any unpaid amount of this nature, including any penalty or fine imposed to restore the company to the state of good registration.

In this case, the Customer also accepts that FIDULINK® will have 60 days from the debit date to pay any annual registration fees relating to the Client's company, and any amount debited as a register penalty will also include any additional penalty amount relating to the waiting period 60 days.

In the case of a payment with an anonymous bank card or not mentioning the name of the holder of the bank card, the customer agrees to provide a bank account statement mentioning the number of the bank card as well as the name and address of the holder. of the bank card. In the event that the customer is not the card holder, he must provide a passport and proof of address of - 3 months as well as a written confirmation of his agreement for the payment of the customer and his order. 

8.4. TO THE EXTENT THAT A THIRD PARTY MAKES A CARD PAYMENT ON BEHALF OF THE CUSTOMER, THE CUSTOMER GUARANTEES THAT THE CARDHOLDER HAS CONSENT TO THE PAYMENT, AS WELL AS TO THE USE OF THE CARD AND TO THE PROCESSING OF CARD DATA ACCORDING TO GENERAL CONDITIONS AND PRIVACY POLICY. THE CUSTOMER IS OBLIGED TO OBTAIN FROM THE HOLDER TO SIGN AND COMPLY WITH A DECLARATION OF HOLDER THE MODEL OF WHICH CAN BE OBTAINED IN BY EMAIL AT INFO (@) FIDULINK.COM.

 

Banking Introduction

8.5. The Customer is liable to FIDULINK® a lump sum for the provision of its services related to the banking introduction and the opening of a bank account. These application fees may be modified at any time without notice. The processing fees are expressed in GBP, EUR, USD, CAD, SGD, NZD, AUD, PLN, BTC at the customer's choice on the FIDULINK platforms®. The Customer must pay the administrative fees before FIDULINK® does not begin the execution of the service and the connection with the establishment(s). The Client can pay the administrative fees to FIDULINK® using a valid Visa or MasterCard credit card in their name, or by bank transfer. Customers who transmit to FIDULINK® the data of a credit card as a means of payment accept that FIDULINK® charges their credit card for the full amount of the administration fee for the account they have chosen in addition to the cost of courier service if requested.

 

Marketplace-FiduLink.com or App-FiduLink.com Customer Account or MY-OFFICE Space

The customer accepts that FIDULINK® create a dedicated account when ordering online. The customer accepts and assures FIDULINK® that he ensures full security of access to his account. The customer discharges all responsibilities FIDULINK® and SUXYS® in the event of negligence on his part and non-compliance with the essential security elements of his password or access login. In case of violation of the account or fraudulent use, the customer accepts that FIDULINK® blocks access to this account without delay and without any reason to provide to the customer. The customer agrees to be solely responsible for the security of his account and his access that he is the only one to have his password and login.

The customer accepts the hosting of his personal data such as invoices and other customer areas by FiduLink.com and SUXYS®. The customer unreservedly accepts the conditions of service and security published on the FiduLink.com website (Read also https://fidulink.com/policy-privacy/). The client accepts that FiduLink.com and SUXYS® may at any time put an end to the hosting of their data without the latter being informed and without any justification or notification. The customer accepts the automatic creation or transformation of his guest customer account into a definitive customer account after placing his order and validation by FiduLink.com. 

The customer accepts when validating his order on the FiduLink.com site or under domains or Marketplace or Applications the electronic signature (by validation and acceptance of the general conditions of sale and use when placing an order) of this contract definitively and completely with the value of the original contract. By validating the order accepts the use of the electronic signature of the contract by validating the box of acceptance of the conditions of sale and use definitively and without any limit and affirms to have read and understood and to accept the general conditions of sales and uses of FiduLink.com and its subdomains and Marketplace and Applications.

FiduLink.com and SUXYS® make available to the customer on request a "MY-OFFICE Lite" space for any new creation of a company, subsidiary, branch. This space may at any time be suspended or deactivated by FiduLink.com in the event of non-compliance with the conditions of use or other non-compliance with the FiduLink.com charter. The customer acknowledges having received free of charge for a given period of one year access to this private and free space at his request from FiduLink.com and SUXYS®. The customer affirms to have read and understood and to accept the rules and conditions of use as well as the FiduLink.com charter before any connection to his “MY OFFICE Lite” Space. The customer acknowledges being the sole holder and user of this space and releases FiduLink.com and SUXYS from all responsibilities.® in the event of intrusion or malicious connection or other data leaks and loss of password on the part of the customer, the latter accepts to be solely responsible for the security of this free and private space offered by FiduLink.com on the customer's specific request.

FiduLink.com and SUXYS® strives to secure its various platforms as much as possible using the security means at its disposal, such as FiduLink.com and SUXYS® declines all responsibility for the damage suffered in the event of partial or total loss of customer data or malicious distribution of it by possible hackers or other criminal groups. However, FiduLink.com draws your attention to the fact that we do not host any sensitive data about our customers or any document online and that we have a protection and monitoring service 24/24 and 7/7 of all our platforms. 

Appointment of a Director

8.6. The Customer gives power to FIDULINK® and certifies that all persons to be appointed as directors of a company according to the order form submitted to FIDULINK® and who have not yet signed a declaration of acceptance of a mandate have indeed consented to their mandate as director at the time of the registration of the company and that each natural person appointed as director has reached the age of 18. Also those certify that the administrator is the subject of an informed consent of his appointment and obligations.

Appointment of a Director

8.6.1 The Customer gives power to FIDULINK® and certifies that all persons to be appointed as Secretary of a company according to the order form submitted to FIDULINK® (Obligation and compulsory registration in case of nominated director's service) and who have not yet signed a declaration of acceptance of mandate have indeed consented to their mandate of Secretary at the time of the registration of the company and that each natural person appointed as director has reached the age of 18. Also those certify that the secretary is the subject of an informed consent of his appointment and obligations.

Other contributor services

8.7. The Customer is liable to FIDULINK® a non-refundable lump sum for the provision of its services relating to contact with third-party service providers or assistance in applying to obtain such services from third-party providers. This sum is collected exclusively to cover the costs of FIDULINK®. The Customer acknowledges that FIDULINK® will not be a party to any contractual relationship established between the Customer and the third-party service provider. The Customer acknowledges that FIDULINK® is likely to receive a business introducer premium from the third-party service provider in the event of acceptance by the Client and the Client expressly waives the right to claim the retrocession of such a premium.

9 - Communication and instructions

The Client and FIDULINK® can send each other instructions, notifications, documents or any other communication by post, email, through the dedicated Internet portal of FIDULINK® or by fax, SUBJECT, that FIDULINK® may send expense reports or fees as an attachment by e-mail. The Client and FIDULINK® must keep all instructions, notices, documents or any other communication as evidence. All communications intended for FIDULINK® will be sent to its head office or to any other address that FIDULINK® will have notified the Customer in writing at any time and, all communications intended for the Customer, will be sent to his address or to any other address that the Customer will have notified to FIDULINK® in writing at any time, in particular the instruction of poste restante which must be approved in writing. Since FIDULINK® must be able to contact the Customer at any time if necessary, the Customer undertakes to immediately inform FIDULINK® if he changes his address, e-mail address or telephone/fax number. In the event that the Customer intends to terminate all FIDULINK services® for a particular company or several companies, any notice of termination made by email should be sent to info@fidulink.com .

10 - Data processing and protection

10.1. FIDULINK® will process personal data which, according to the definition of the General Data Protection Regulation (RGPD / GDPR), which includes any information relating to an identified or identifiable natural person, also known as a “data subject”. An identifiable natural person is a person who can be identified, directly or indirectly, in particular by reference to an identifier such as name, an identification number, location data, a connection identifier, or by one or more factors specific to the physiognomic, physiological, genetic, mental, economic, cultural or social identity of this natural person.

Data processing means any operation or set of operations carried out on personal data, whether automated or manual, such as the collection, recording, organization, structuring, storage, retrieval, consultation, adaptation or modification, use, communication by transmission, dissemination, erasure or destruction of such data, as well as the provision, arrangement or combination of data, their restriction or deletion.

Recipients of personal data include FIDULINK group companies® acting as a subcontractor or auxiliary, agents resident in jurisdictions related to services, our IT and telecommunications suppliers, other third-party suppliers including banks to which the Client has expressly wished to be presented, public company registers, or legal authorities. Each of these disclosures will be made in accordance with the GDPR and our relationships with third parties will be contractual, whereby both parties submit to GDPR obligations such as the duty of confidentiality for anyone who processes the personal data of data subjects.

In order to comply with know-your-customer (“KYC”) obligations and to ensure that services are provided correctly, the data processed includes details of the Customer, such as first and last name, nationality, date of birth , domicile and residence addresses, passport numbers, passport validity dates, and contact data of identifiable persons, as well as supporting documents confirming this personal data and the Customer's instructions relating to the services. The KYC process is carried out with the KYC – AML application available on FiduLink.com.

The Customer has the obligation to keep his personal data with FIDULINK® updated throughout the contractual relationship, and to submit any supporting documents in connection with its obligation to keep them up to date in the forms prescribed by FIDULINK®.

10.2. FIDULINK® or the resident agent are likely to process personal data as a subcontractor on behalf of FIDULINK®, who where applicable remains the data controller. Further information as to the parties with whom we share data can be obtained in our Privacy Policy.

10.3. The Customer acknowledges that he can obtain more information by contacting FIDULINK® or by sending an email to info@fidulink.com . All communication will be done in English. Any other language can be used by FIDULINK® at its sole discretion, only as a courtesy to the Customer.

10.4. The Customer is informed that he has the right to withdraw consent. The withdrawal of consent does not affect the legality of the processing prior to the withdrawal, nor the legality of a continuation of the processing if another reason justifying the processing exists, such as compliance with legal obligations.

The Customer warrants to FIDULINK® that he has obtained the full and complete consent of any third party data subject whose personal data is transmitted to FIDULINK® by the Client, and that this consent covers processing by or through FIDULINK® personal data of this third party data subject for reasons of service provision or compliance with prudential obligations.

10.5. FIDULINK®, its directors, employees or agents, are required to treat the data confidentially. Despite all security precautions, data, including e-mail communications and personal financial data, may be viewed by unauthorized third parties during transmission between the Client and FIDULINK®. For the purpose of communicating with FIDULINK®, the Customer may need to use software produced by third parties, including but not limited to browser software that supports a data security protocol compatible with the protocol used by FIDULINK®.

10.6. The information provided in the context of this clause constitutes a partial presentation of data protection. This is explained in more detail in our Privacy Policy available at the link provided for this purpose.

11 - Legal incapacity

The Client will bear the risk of any prejudice resulting from a legal incapacity related to his person or to his lawyers or other third parties, unless this incapacity has been communicated to FIDULINK.com or SUXYS® in writing or by email (subject to receiving a confirmation in return by email from FiduLink.com or SUXYS® ).

12 - Liability

12.1. Without prejudice to any specific provision, any damage resulting from an error or omission on the part of FIDULINK®, its directors, employees or agents must be borne by the Client, unless FIDULINK®, its directors, employees or agents have committed gross negligence or fraud or any other liability which cannot be excluded under applicable law. FIDULINK® will not be responsible for any loss suffered due to mechanical failure, strike, internet attack, terrorist attack, natural disaster, pandemic delay or any failure of any staff, management or any custodian in the performance of their duties. 

12.2. Any damage caused by or arising, directly or indirectly, from error, failure, negligence, act or omission by any other person, system, institution or payment infrastructure will be borne by the Customer.

12.3. FIDULINK® cannot be held responsible if the Additional Services cannot be implemented. The responsibility of FIDULINK® regarding Additional Services is strictly limited to the selection, instruction and supervision of its affiliates or any other third party.

12.4. Any damage or loss resulting from the use of postal, telegraph, telex, facsimile, telephone, and other means of communication or means of transportation, and particularly loss resulting from delays, misunderstandings, damage, mistreatment inflicted by third parties or duplication of copies, are the responsibility of the Customer, unless FIDULINK® has committed gross negligence.

12.5. FIDULINK® cannot be held responsible in the event of failure of one of the means of communication necessary for the execution of the services provided for by the Contract, or for any mail or call received within the framework of the services provided for by the Contract. FIDULINK® assumes no responsibility for any loss or damage arising from the use or faxing of instructions, including where transmission has failed, is incomplete or lost.

12.6. In the specific case of opening a bank account, FIDULINK® acts as a third party in the relationship between the Bank and the Client. Therefore, FIDULINK® cannot under any circumstances be held responsible for the relationship between the Bank and the Client. FIDULINK® does not have the power to act and does not claim to act as an employee, representative or member of the management of the Bank and / or to sign on its behalf or to incur any liability whatsoever on behalf form the bank.

13 - Duration, termination and suspension of services

In general

13.1. Any Contract lasts for the period indicated and will then be automatically renewed for successive periods equal to the length of the initial term. For all other aspects, any Contract will automatically renew under the same terms and conditions. FIDULINK® or the Customer may terminate any Contract for the term referred to therein, or for the end of any extension or renewal period, by giving at least two months' notice in writing to the other party. Termination is understood to be without prejudice to any rights or obligations of a party arising prior to termination or arising with respect to any act or omission committed prior to termination. The right to immediate termination for just cause is reserved.

13.2. In case of violation by the Customer of applicable laws or of these General Terms and Conditions of Sale and Use and/or General Conditions, FIDULINK.com or SUXYS® may terminate any Agreement and services with immediate effect, including an Agreement regarding additional Services provided by companies affiliated with FIDULINK® or by third parties. In such a case, the Client must take all necessary measures to replace any position that has become vacant in any Company following such termination and it is expressly agreed that FIDULINK® cannot be held responsible for any damage resulting from such immediate termination.

Foundation and Management of a Company

13.3. Any Contract for the operation of a Company is valid for a full year. In the event that the Customer terminates the contract or asks FIDULINK® to transfer the management of the Company to another agent or company service provider or to liquidate the company, FIDULINK® will not transfer or liquidate the Company until all outstanding payments, expenses and / or charges (including but not limited to government taxes, duties, taxes and other payments to third party as well as the costs related to directors or trustee shareholders and a transfer fee of € 750,00) have been paid in full.

As soon as the Company has been incorporated and is registered in the relevant jurisdiction, the Client agrees to sign a mandate contract. Otherwise, FIDULINK® reserves the right to refuse to transmit to the Client the social documents relating to the Company as long as the aforementioned mandate contract is not signed by the Client.

The Client will receive a full refund of the incorporation costs, less courier costs, if the following three conditions are met: (i) FIDULINK® is unable to create a Company for the Client AND (ii) FIDULINK® has received all necessary documents duly completed by the Client, including a copy of a valid Client's identity document which has been authenticated in accordance with the specific instructions of the Swiss Banks and any other document requested from the Client by FIDULINK®, such as, in particular utility bills not older than 3 months, a curriculum vitae and a reference letter from a bank AND (iii) the request for reimbursement is submitted within 60 days of payment of the fee of constitution by the Client.

Opening a Bank Account

13.4. The service ends with the opening of the account by the Bank and thereafter all relations are made between the Client and the Bank.

Any Client may decide to cancel his request within 3 calendar days of his request to open a bank account. The Client will receive a full refund of the setup fee, less courier charges, if the following three conditions are met: (i) The Bank, with the assistance of FIDULINK®, is unable to open an AND (ii) FIDULINK account for the Client® or the Bank has received all the necessary documents duly completed by the Client, including a copy of the Client's valid identity document which has been authenticated in accordance with the precise instructions of the Convention relating to the duty of care of Swiss banks and any document requested from the Client by FIDULINK®, such as, but not limited to credit card account statements, utility bills, employment contract, certificate of incorporation or other evidence of the economic origin of funds. This is the only case where refunds are offered. No refund will be offered, for whatever reason, if the customer decides to cancel their request after 3 calendar days.

Refund modality

13.5. Any refund can only be made through the SUXYS blockchain.® and in the digital Token usable by FiduLink.com and subdomains and or SUXYS® either the SUXYS TOKEN® (be careful, all refunds will be made in accordance with the value of the SUXYS Token® at the time of the request and subject to acceptance by SUXYS® and or FIDULINK.com and subdomains. 

14 - Severability

If any clause contained herein is or may become, under any written law, or is considered by a court or administrative body or any competent jurisdiction to be, unlawful, invalid, prohibited or unenforceable, then such clause is deemed to be inoperative. to the extent of such illegality, nullity, invalidity, prohibition or inapplicability. The other clauses will remain in force.

15 - FiduLink.com Charter and Subdomains I The 10 principles of the Charter

The user as well as the directors, shareholders, partners affirms to have read and accept the charter of FiduLink.com is accepts the respect of this one under penalty of seeing their services suspended and or deactivated without reserve and without any justification on behalf of SUXYS® or FIDULINK.com and subdomains; 

1 – Never provide Illegal services or products with a Company created or using the services of FIDULINK.com. 2 – Remain professional and courteous in all circumstances with FIDULINK Agents®. 3 – Never let another person use your FIDULINK account® or MY OFFICE to connect to the network. 4 – Never use the services of FIDULINK® for a company other than the one registered with FIDULINK services®. 5 – Never start the activity of the company without having received the official documents or activation of the services from FIDULINK®. 6 – Provide within 48 hours all professional or personal documents that FIDULINK® might ask you. 7 – Renew your company or its services a maximum of 1 month before the end of the FIDULINK services®. 8 – Never provide a document that has been touched up in any way whatsoever. 9 – Never change contact details (address, telephone, etc.) without informing FIDULINK.com. 10 – Never use the services or products of FIDULINK.com to set up or establish tax, administrative, financial fraud…

16. Assignment

For the performance of its services, FIDULINK® reserves the right to hire sub-contractors who will be under its authority: Lawyers, Jurists, Accountants, Chartered Accountants, Notaries, Auditors and other Incorporation Agents of the FiduLink.com Network. The Client's rights and obligations resulting from a Contract may only be transferred to third parties with the written consent of FIDULINK.com.

17. Applicable right 

This Agreement is governed by and established in accordance with the laws in force in the jurisdiction of establishment of SUXYS International Limited. Any disagreement between the parties arising in connection with the Contract, the general conditions of sale and use of FiduLink.com, including questions relating to its conclusion, its validity or its termination, is subject to the exclusive jurisdiction of the head office. corporate body of SUXYS International Limited.

 

Annex 1 - 1 - A. Non-provision of Services for citizens of the jurisdictions below (01/01/2023 at 00:00): 

FiduLink.com cannot provide any services of any kind for citizens of jurisdictions: Afghanistan, Iran, North Korea, Pakistan, Sudan. This list may be added or removed from certain jurisdiction without notification from FiduLink.com.  

 

Annex 2 - 1 - A. Payment limit by credit card below (27/04/2023 at 00:00): 

FiduLink.com will no longer offer payments for new customers by bank card above €499,00 as of 27/04/2023. For all payments above 499,00 €uros or currencies equivalent to this amount, payments can be made by bank transfer in 30 currencies of the customer's choice by SEPA transfer or SWIFT, USDT, Bitcoin, Ethereum transfer. The payment function for sums greater than €499,00 or equivalent will only be available for customers already known to FiduLink.com*.
